The PDF accessibility and compliance services (the “Services”) are performed hereunder by Allyant, dba CommonLook (“CommonLook”).
- Export Regulation. The CommonLook software and documentation may be subject to U.S. and Canadian export control laws. Customer shall not, directly or indirectly, export, re-export, or release the CommonLook software or documentation to, or make the CommonLook software or documentation accessible from, any jurisdiction or country to which export, re-export, or release is prohibited by law, rule, or regulation. The Customer will comply with all applicable federal laws, regulations, and rules and complete all required undertakings (including, but not limited to, obtaining any necessary export license or other governmental approval), before exporting, re-exporting, releasing, or otherwise making the CommonLook software or documentation available outside the United States.
- CommonLook shall remediate “Standard Documents” provided by Customer so that those documents comply with (i) the Americans with Disabilities Act and (ii) PDF/UA, WCAG 2.1 AA or HHS standards (excluding color and contrast requirements therein) in each case of (i) and (ii), upon delivery of such documents to Customer after remediation as set forth below. Customers may request “rush requests” for an additional fee, to be agreed upon at the time of the request.
- Standard Documents are defined as documents that consist of text, images, tables, or any combination thereof. Standard Documents do not include:
- fillable forms.
- scanned documents requiring OCR correction.
- Discovery and Delivery. Upon the start of PDF remediation, CommonLook shall perform scans to scope out projects and provide the inventory lists for each remediation project. The following timelines shall apply:
- Standard delivery timeframe is at least 7 business days (for non-“bulk” projects).
- Rush delivery timeframe is 4-5 business days (for non-“bulk” projects”).
- Upon request, CivicPlus will provide a quote for a delivery timeframe for “bulk” projects (i.e., projects that include over 1,000 total pages to be remediated) which shall require agreement between the parties.
- Remediated files will be delivered back to the Customer along with the accessibility compliance reports for each file.
- Alt-text will be provided by CommonLook where possible. Customer to provide alt-text for technical images requiring Customer knowledge or expertise, as determined by CommonLook, in its sole and reasonable discretion. CommonLook will provide a template for providing Alt-text to streamline the process.
- The Customer understands and agrees that CommonLook is free to use remediation teams located in North America and offshore for the Standard Documents provided by the Customer. Document requests that are required to remain in the continental U.S. can be accommodated but will be quoted at additional cost. It is Customer’s responsibility to inform CivicPlus of any such requirements.
- Documents outside the scope of the Statement of Work (SOW) will be quoted at additional cost and agreed to between the parties. PDF documents can vary greatly in complexity, design, and structure. Some documents may require more extensive and time-consuming remediation efforts, in the event such efforts are necessary, CivicPlus will discuss with the Customer any potential additional cost prior to starting remediation.
- Upon receipt of remediated documents by CommonLook, the Customer is responsible for scanning to ensure remediation efforts by CommonLook were performed successfully. The Customer understands and agrees that CivicPlus will not be liable for any failure to ensure that the remediated PDFs comply with relevant accessibility standards and legal requirements.
