These Artificial Intelligence Terms ("AI Terms") govern Customer's access to and use of CivicPlus products and functionality that incorporate artificial intelligence, including generative AI and machine learning capabilities ("AI Features"). These AI Terms supplement the CivicPlus Master Services Agreement, including the CivicPlus AI Acceptable Use Policy ("AI AUP").
Capitalized terms not defined here have the meanings given in the Agreement or AI AUP. In the event of a conflict, the order of precedence established in the Agreement applies.
1. AI Technology and Third-Party Providers
AI Features may rely on third-party AI models, systems, or services. CivicPlus may update or replace underlying AI components in connection with operating and improving the Services, subject to the Agreement and applicable Data Processing Addendum.
Unless expressly stated in an applicable SOW, CivicPlus does not guarantee the continued use or availability of any particular underlying model or provider.
2. Data Use
AI Customer Data may be processed by CivicPlus and its service providers or subprocessors as necessary to provide, secure, support, and maintain the AI Features and as otherwise permitted by the Agreement and applicable Data Processing Addendum.
CivicPlus will not use Customer Data in identifiable form to train, develop, or improve artificial-intelligence or machine-learning models without Customer's express written consent. CivicPlus may use Usage Data and Aggregated Data in accordance with the Agreement, provided such data does not reasonably identify Customer or an individual.
AI Customer Data, including Generated Content, is treated as Customer Data as provided in the Agreement and AI AUP.
3. AI Outputs
Generated Content may be inaccurate, incomplete, outdated, biased, or otherwise inappropriate. Because AI outputs are probabilistic, Generated Content may not be unique, and similar content may be generated independently for other users.
Customer is responsible for appropriately reviewing and validating Generated Content before publishing, relying upon, or using it in an official communication or determination. Generated Content is not a substitute for professional judgment.
CivicPlus does not warrant the accuracy, completeness, currency, or suitability of Generated Content. This limitation applies to the content of AI-generated outputs and does not alter any express warranty or service-level commitment applicable to the operation of the Services under the Agreement.
4. Responsible Use, Transparency, and Compliance
Customer shall use AI Features in accordance with the Agreement, AI AUP, applicable law, and applicable product documentation. Customer shall maintain meaningful human oversight appropriate to its use of AI Features and shall not disable or circumvent safeguards, review controls, or disclosure functionality provided by CivicPlus.
Customer shall not use an AI Feature as the sole or fully automated basis for a High-Impact Decision or for any use prohibited by applicable law. Customer is responsible for ensuring that it has the rights, consents, and lawful bases required for data submitted to an AI Feature and for using only AI Features documented as appropriate for the applicable data and use case.
Each Party is responsible for complying with the legal obligations applicable to that Party in connection with its role in providing, deploying, or using an AI Feature. CivicPlus will make available notices, documentation, and reasonable cooperation that CivicPlus is required to provide under applicable law or the Agreement to support Customer's compliant use of the AI Features.
Customer is responsible for deployment-specific notices, assessments, human review, and other obligations applicable to Customer's use of the AI Features.
Where CivicPlus provides an AI-related notice, label, or disclosure, Customer shall not remove, disable, or obscure it.
5. Product-Specific Terms
The following additional terms apply to the identified AI Features and control over the general provisions of these AI Terms solely to the extent of a conflict.
5.1 CivicPlus Agent and CivicPlus Chatbot
CivicPlus Agent and CivicPlus Chatbot generate responses based on Customer-provided content, connected data sources, and applicable system configuration. Customer is responsible for maintaining the accuracy and currency of the underlying Customer content.
Generated responses may be inaccurate, incomplete, or outdated and do not constitute official government statements, determinations, or decisions unless separately adopted or issued by Customer through appropriate review. Customer shall maintain applicable AI disclosures for public-facing interactions.
Translation functionality may produce inaccurate results and should be independently verified where accuracy is material.
5.2 AI Content Advisor
AI Content Advisor provides recommendations relating to content quality, structure, search optimization, and similar matters. Recommendations are advisory and do not modify Customer content unless Customer elects to implement them. Customer retains discretion and responsibility for any resulting content.
5.3 AI Editing Assistant
AI Editing Assistant may generate draft content, edits, summaries, formatting, or translations based on user inputs. Generated Content is not published or deployed without Customer action. Customer is responsible for reviewing Generated Content prior to publication or other use and for independently verifying translations where accuracy is material.
5.4 SeeClickFix 311 CRM AI Category Search and Photo Analysis
AI-generated categorizations or recommendations for service requests, including recommendations based on image analysis, are predictive and may be inaccurate. Customer retains authority and responsibility for the final classification and disposition of service requests.
5.5 CivicPlus Athena
CivicPlus Athena enables Authorized Users to generate content and initiate administrative actions through a conversational interface. Actions are initiated through user requests and are subject to applicable permissions and system configuration.
Customer is responsible for designating Authorized Users, configuring appropriate permissions, and appropriately reviewing actions initiated through its account. Generated Content must be reviewed as appropriate before publication or official use.
5.6 CodeComply
CodeComply may use AI to assist with plan review or related analysis. AI-generated findings, classifications, or recommendations are advisory and do not constitute final code, permitting, enforcement, or other governmental determinations.
Customer shall ensure that appropriately qualified personnel review AI-assisted results before making a final determination and shall not use AI-generated results as the sole or fully automated basis for approving or denying a plan, application, or permit, or for taking enforcement or other consequential action with respect to an individual.
Three changes applied:
Introduction: streamlined to "These AI Terms supplement the Agreement, including the CivicPlus AI Acceptable Use Policy ('AI AUP')."
Section 4 compliance covenant: tightened to "CivicPlus will make available notices, documentation, and reasonable cooperation that CivicPlus is required to provide under applicable law or the Agreement to support Customer's compliant use of the AI Features."
Section 5 opener: replaced with "The following additional terms apply to the identified AI Features and control over the general provisions of these AI Terms solely to the extent of a conflict."
Section 5.6 CodeComply: rewrote the final sentence to separate plan-review actions from enforcement actions against individuals.
